1. General provisions
1.1. Фізична особа-підприємець Волков Сергій Валентинович, TAX ID 2661806175, платник єдиного податку 3 групи за ставкою 5 %, не є платником ПДВ (hereinafter the Contractor) offers any legal entity, individual entrepreneur or individual (hereinafter the Customer) to conclude this agreement on the terms set out below.
1.2. The contract is a public offer under Articles 633 and 641 of the Civil Code of Ukraine and is concluded in electronic form under the Law of Ukraine “On Electronic Commerce”. The contract has the same legal force as a contract signed in writing.
1.3. Acceptance of the agreement (Articles 641 and 642 of the Civil Code of Ukraine) is the Customer taking any of the following actions: registering the organization on the website or in the service’s Telegram bot, starting the trial period, or paying an invoice. The agreement is deemed concluded from the moment of acceptance.
1.4. The person accepting on behalf of an organization confirms that they are authorized to do so.
2. Definitions
Service — the “Keybliq” software system for recording the issue and return of keys, consisting of the Customer’s Telegram bot, the web version and the account dashboard on the website https://keybliq.com. System — a separate instance of the Service for the Customer with its own database. Account dashboard — the section of the website where the Customer manages the plan, payment and settings. Plan — the scope of services and the price published on the website. Paid period — the month or year for which payment has been made.
3. Subject of the contract
3.1. The Provider grants the Customer access to the Service on a software-as-a-service (SaaS) basis within the scope of the chosen plan, and the Customer pays for these services.
3.2. The contract does not transfer any intellectual property rights in the Service to the Customer. All rights to the program code, design and name of the Service belong to the Provider. Data the Customer enters into the System belongs to the Customer.
4. Service provision
4.1. To connect, the Customer registers on the website or in the service’s Telegram bot and enters the organization’s name. The Provider creates the System, usually within a few minutes. The Customer creates the Telegram bot for its employees itself, with one button in Telegram or via @BotFather; the bot belongs to the Customer.
4.2. Services are provided around the clock, except during planned maintenance (announced in advance, mostly at night) and interruptions beyond the Provider’s control, in particular failures of Telegram, communication providers and the power supply.
4.3. Support is provided on business days via Telegram, phone +380 95 226 30 05.
5. Trial period
5.1. For the first 14 calendar days after connection, the Service is provided free of charge within the scope of the “Business” plan. The trial period is granted to each organization once.
5.2. If no payment is made after the trial period, key issuing is disabled in the System; returning keys and viewing data remain available for another 14 days. After that, the System’s bot and web version are stopped, and 60 days after the end of the trial period the System’s data is deleted (clause 7.2).
6. Prices and payment
6.1. The price of the services is set by the plans published on the website at the time of payment: “Start” — 490 UAH per month or 4 900 UAH per year; “Business” — 1 490 UAH per month or 14 900 UAH per year; “Large site” — 3 900 UAH per month or 39 000 UAH per year. The price of the “Corporate” plan is agreed separately.
6.2. Prices are in hryvnias. No VAT is charged: the Provider is not a VAT payer (платник єдиного податку 3 групи за ставкою 5 %, не є платником ПДВ).
6.3. Payment is made in advance for the Paid period: by payment card on the website via the WayForPay payment service, or by bank transfer to the Provider’s current account UA383052990000026004036307260 against an invoice generated in the Account dashboard. The payment obligation is fulfilled when the funds are credited.
6.4. When paying by card, the Customer receives a payment document (fiscal receipt) in electronic form by email or as a link in the Account dashboard.
6.5. If the Customer has saved a card, the price of the next Paid period is charged automatically on the day the current one ends (recurring payment). The Customer consents to this by saving the card and can turn off auto-renewal or remove the card in the Account dashboard at any time.
6.6. The Provider may change the plans by notifying the Customer at least 30 calendar days in advance. The price of a period already paid does not change.
7. Non-payment
7.1. If payment for the next period is not received: for 7 days the Service works in full, the Provider retries the charge and sends reminders; then for 14 days only key returns and viewing data are available; after that the System’s bot and web version are stopped, and the data is kept.
7.2. 60 days after the date of non-payment (for the trial period — from the day it ends), the System’s data is deleted. No later than 7 days before deletion, the Provider sends a warning. Any payment before deletion fully restores the System. The archive of a deleted System is kept for another 30 days (so it can be restored at the Customer’s request) and is then destroyed.
8. Acceptance of services and documents
8.1. Services are accepted monthly. Services for each month of the Paid period (for the annual plan — for each of the 12 months) are deemed fully rendered unless, within 5 business days after the end of that month, the Customer sends the Provider reasoned written objections.
8.2. Invoices and certificates of services rendered are generated electronically in the Account dashboard. The certificate for a month is generated after the month ends and is dated the last day of that month of the Paid period. At the Customer’s request, the Provider signs the certificate with a qualified electronic signature or sends a signed copy by post. The parties recognize electronic document flow under the Law of Ukraine “On Electronic Documents and Electronic Document Flow”.
9. Rights and obligations of the parties
9.1. The Provider must: keep the Service running in accordance with the contract; store the Customer’s data separately from other customers’ data and not share it with third parties, except as provided by law; create daily backups of the System’s database; give notice of planned maintenance and changes to the terms.
9.2. The Provider may temporarily restrict access in the event of non-payment (section 7), a breach of this contract or the law by the Customer, and to eliminate threats to the Service’s security.
9.3. The Customer must: pay for the services on time; enter accurate data into the System; ensure that the personal data of its employees is processed lawfully (section 10); not give administrator access to outside persons; not interfere with the operation of the Service.
9.4. The Customer has the right to: use the Service within the plan; change the plan; download a full archive of its data in the Account dashboard at any time; cancel the services by turning off auto-renewal (section 13).
10. Personal data
10.1. For the personal data of employees and visitors that the Customer enters into the System (full name, phone, Telegram ID, log entries), the Customer is the controller and the Provider is the processor within the meaning of the Law of Ukraine “On Personal Data Protection”. By entering into the contract, the Customer instructs the Provider to process this data solely to provide the services under the contract.
10.2. The Customer guarantees that there is a legal basis for processing this data and that data subjects have been informed about it. The Provider processes such data only on the Customer’s instructions, takes organizational and technical measures to protect it and deletes it in accordance with section 7 or at the Customer’s request after the contract ends.
10.3. The processing of personal data of the Customer and its representatives is described in the Privacy Policy.
11. Liability
11.1. The parties are liable for failure to perform or improper performance of the contract in accordance with the law of Ukraine.
11.2. The Provider is not liable for losses caused by interruptions in Telegram and other third-party services, by the actions of third parties, or by the Customer’s improper use of the Service. The Provider’s total liability is limited to the amount the Customer paid for the last Paid period, except where such a limitation is not permitted by law.
11.3. If the Service was unavailable through the Provider’s fault for more than 72 hours in a row, the Paid period is extended by the same time at the Customer’s request.
11.4. The parties are released from liability for failure to fulfil obligations due to force majeure, in particular martial law, hostilities and mass power outages, certified in the manner established by law.
12. Term, amendment and termination of the contract
12.1. The contract is valid from acceptance until it is terminated. The Paid period renews automatically, subject to payment.
12.2. The Provider may change the terms of the contract by publishing a new version on the website at least 30 days before it takes effect and notifying the Customer. Continuing to use the Service after that means agreeing to the new version.
12.3. The Customer may terminate the agreement at any time by turning off auto-renewal or by notifying the Provider. Refunds follow the rules of section 13.
13. Cancellation and refunds
13.1. The Customer may cancel the services at any time: turn off auto-renewal in the Account dashboard (services are then provided until the end of the Paid period and the agreement terminates) or send a request to terminate the agreement.
13.2. The trial period is free; no payment is charged for it.
13.3. Monthly plan: payment for the current month is not refunded because the services for it are already being provided. Further charges stop once auto-renewal is turned off.
13.4. Annual plan: on cancellation we refund the difference between the amount paid and the cost of the months already started at the monthly price of the same plan. For example, a year of the “Business” plan costs UAH 14,900; on cancellation in the third month, 3 × UAH 1,490 = UAH 4,470 is retained and UAH 10,430 is refunded.
13.5. We refund in full: an erroneous or duplicate payment; payment for services that cannot be provided through the Provider’s fault.
13.6. How to submit a request: via the service’s Telegram bot (the “Support”) or by letter to the Provider’s address in the details. State the organization’s name and the date and amount of the payment. We reply within 5 business days.
13.7. Funds are returned by the same method used for payment (to the same card or account) within 14 calendar days of receiving the request. The time for crediting a card depends on the issuing bank. After the refund, a certificate for the services actually rendered is generated.
13.8. A Customer who is an individual (consumer), by starting to use or paying for the Service, agrees that the services are provided electronically immediately, before the end of the 14-day period provided for by part four of Article 13 of the Law of Ukraine “On Consumer Rights Protection”. Therefore, the right to terminate the agreement within that period does not apply (clause 1 of part five of Article 13). All other consumer rights under the law, including the terms of this section, remain.
14. Dispute resolution
14.1. The agreement is governed by the law of Ukraine. Disputes are resolved by negotiation and, failing agreement, by a court in accordance with the legislation of Ukraine.
